6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • AI First Consultancy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Site or our services.
  • Our total aggregate liability for any claims arising out of or related to these Terms or your use of the Site shall not exceed the amount you paid to AI First Consultancy for services in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.
  • These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

7. Disclaimer of Warranties

The Site and all content, information, and services provided through it are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, AI First Consultancy disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify, defend, and hold harmless AI First Consultancy and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Mediation — The parties agree to first attempt to resolve the dispute through mediation administered by a mutually agreed-upon mediator. The costs of mediation shall be shared equally.
  • Arbitration — If mediation is unsuccessful, the dispute shall be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.
  • Exceptions — Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.

11. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
